SELL SIDE: Ponterra’s main focus emphasizes sell-side mandates and maximizing exit values for its clients. Ponterra brings a breadth of experience to take a 360-degree look at the business to advise on changes that need to be made prior to any transaction and provides recommendations to meet the specific needs of its clients. The firm also executes other transactions, including taking companies private, mergers, acquisitions, corporate divestitures, management buy-outs, capital formations and recapitalizations.
MERGERS: The firm helps two or more mid-sized companies merge to create more value and maximize eventual exit value. The goal is to create a larger, more compelling entity better able to attract a larger field of potential buyers, and higher valuations for clients. Ponterra is known to advise clients not to engage in a particular transaction while it finds a more adventageous deal. For example, the firm advised a US based Software as a Service (SaaS) firm not to sell, then helped arrange a merger with an Australian company with complimentary products. The merged company doubled its revenue in 18 months, and subsequently was sold by Ponterra to an established industry player at a substantial premium over its combined pre-merger valuation.
BUY SIDE: While Ponterra’s primary focus is on the sell side and its related mandates, the company will undertake buy-side engagements. These are companies looking to enhance their value as they move to a subsequent sale and exit; or on behalf of a buyer who wants to make a very specialized and focused acquisition that is not in conflict with Ponterra’s sell-side activities.
